Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using the https://deskaccounting.com/ website (the “Service”) operated by Desk Accounting (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

Account Registration

To access certain features of the Service, you may be required to register for an account. When registering, you agree to provide accurate and complete information about yourself. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.

You agree to notify us immediately if you suspect any unauthorized use of your account or any breach of security. Desk Accounting will not be liable for any loss or damage arising from your failure to safeguard your account information.

Purchases and Subscriptions

If you wish to purchase any product or service made available through the Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase, including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.

By providing this information, you represent that you have the legal right to use the payment method provided. You also agree to pay all fees and charges associated with your Purchase, including any applicable taxes.

Some parts of the Service may be billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis, as specified during the registration process. At the end of each billing cycle, your Subscription will automatically renew under the same conditions unless you cancel it or Desk Accounting cancels it.

You may cancel your Subscription renewal through your online account management page or by contacting our customer support team. If you cancel your Subscription, you will retain access to the Service until the end of your current billing cycle, and no refunds or credits will be provided for partial subscription periods.

Content and Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Desk Accounting and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Desk Accounting.

You are responsible for any content that you post, upload, or otherwise make available through the Service, including its legality, reliability, and appropriateness. By posting or uploading content, you grant Desk Accounting a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display your content in connection with the Service and our business.

You represent and warrant that you own or have the necessary rights to post or upload any content you provide and that it does not violate any intellectual property rights or any applicable laws or regulations.

Prohibited Uses

You agree not to use the Service for any of the following purposes:

  1. Engaging in any activity that violates any applicable law or regulation.
  2. Posting, uploading, or transmitting any content that is offensive, obscene, hateful, discriminatory, defamatory, or otherwise objectionable.

You further acknowledge and agree that Desk Accounting shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

Indemnification

You agree to defend, indemnify, and hold harmless Desk Accounting, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Service.

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. In no event shall Desk Accounting, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Governing Law
